Terms of Service

1. Acceptance of Terms

By accessing or using roostledger.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a binding agreement between you and Nicholas Stassen, a sole proprietor doing business as Roost Ledger ("Roost Ledger," "we," "us," or "our").

2. Service Description

Roost Ledger is a software tool that organizes numbers from an Airbnb transaction-history CSV export into a tax-ready summary for short-term rental hosts.

Roost Ledger provides organized numbers, NOT tax, legal, financial, or accounting advice. The output of the Service is for informational and organizational purposes only. You are solely responsible for verifying all figures and must consult a qualified tax, legal, or accounting professional before making any financial or tax-related decisions.

3. Not Affiliated with Airbnb

Roost Ledger is an independent tool and is not affiliated with, endorsed by, or sponsored by Airbnb, Inc. or any of its subsidiaries. "Airbnb" is a trademark of Airbnb, Inc., which has no connection with or responsibility for Roost Ledger.

4. Accounts

You sign in via a passwordless email magic-link. You are responsible for maintaining access to the email inbox associated with your account. You must not share access to your account with others and must notify us immediately if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized access caused by your failure to secure your email account.

5. Subscriptions & Billing

• The Service is offered at $49 per year, billed annually.
• Subscriptions auto-renew annually unless cancelled before the renewal date.
• Payments are processed by Stripe. By subscribing you authorize us to charge the payment method on file via Stripe for each renewal period.
• You may cancel your subscription at any time through the Stripe Customer Portal (accessible from your account settings). Cancellation takes effect at the end of your current paid period; you will retain access until then.
• No refunds are provided for partial subscription periods except where required by applicable law.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to probe, scan, or test the vulnerability of the Service's systems, except as expressly permitted under the good-faith security-research programme described in the Security & Your Data page (Section 10 of that page).
• Attempt to gain unauthorized access to any part of the Service, access another user's account or data, conduct denial-of-service attacks, or exfiltrate data belonging to others.
• Transmit malicious code, spam, or any content that disrupts or harms the Service.
• Reverse-engineer, decompile, or disassemble any portion of the Service.

We reserve the right to suspend or terminate your account for any violation of these Acceptable Use provisions.

7. Intellectual Property

All content, software, design, and materials comprising the Service are owned by or licensed to Roost Ledger and are protected by applicable intellectual-property laws. You receive a limited, non-exclusive, non-transferable license to access and use the Service to organize and review financial data for your own short-term rental business during your subscription term. You may not resell or sublicense access to the Service, provide the Service as a bureau or white-label offering to third parties, use it to build or operate a competing service, or reverse-engineer, decompile, or disassemble any portion of it. No other rights are granted.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT THE FIGURES IT PRODUCES ARE ACCURATE OR COMPLETE. YOU MUST INDEPENDENTLY VERIFY ALL OUTPUT BEFORE RELYING ON IT FOR ANY PURPOSE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROOST LEDGER AND ITS OWNER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO ANY TAX PENALTIES, UNDERPAYMENTS, INTEREST, FINES, OR OTHER LOSSES RESULTING FROM YOUR RELIANCE ON THE OUTPUT OF THE SERVICE.

IN ANY CASE, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID TO ROOST LEDGER IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Roost Ledger and its owner from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any applicable law.

11. Governing Law & Venue

These Terms are governed by and construed in accordance with the laws of the State of Ohio, USA, without regard to its conflict-of-law provisions. Any dispute arising under or related to these Terms shall be resolved exclusively in the state or federal courts located in Ohio, and you consent to personal jurisdiction in those courts.

12. Changes to Terms

We may update these Terms at any time by posting the revised version on this page with an updated "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If changes are material, we will make reasonable efforts to notify you via the email address on your account.
